1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use Biz Central Suite. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Account Registration and Responsibilities

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. You agree to:

Provide accurate, current, and complete information during registration;

Not share your login credentials;

Notify us immediately of any unauthorized use of your account.

3. Use of the Service

You may use the Service for your own business operations and marketing activities. You agree not to:

- Use the Service for any unlawful, harmful, or fraudulent purpose;

- Transmit any viruses, malware, or harmful code;

- Interfere with or disrupt the Service or servers;

- Attempt to reverse engineer, decompile, or access the source code of the Service;

- Violate or attempt to violate any city, county, state, or federal laws or regulations;

- Use the Service to send spam or unsolicited messages.

Biz Central Suite reserves the right to suspend or terminate your account if you violate these Terms.

4. Plans, Fees & Billing

Biz Central Suite offers multiple subscription plans. Pricing is available on our website and may change with prior notice.

- Starter: $197/month or $1,970/year

- Advanced: $297/month or $2,970/year

- Premium: $497/month or $4,970/year

A 14-day free trial or other promotional discounts may be made available at the discretion of Biz Central Suite. Free trials do not include usage-based costs (such as phone, email, or AI services) or optional add-ons.

All usage-based services (e.g., calls, SMS, AI content, email sends) and add-ons are billed separately and in accordance with the published rate schedule available on BizCentralSuite.com. Usage cost discounts are applied to Advanced and Premium plan subscribers. These rates are subject to change with or without notice.

Usage charges are calculated based on real-time consumption and are deducted from the balance in your Biz Central Suite wallet in real time. You may set your wallet to auto-refill to an amount you specify and can view the charges for usage and premium features in your billing area.

Some promotions and plans may include a complimentary monthly credit which will be added to your wallet. This credit does not roll over and is good only for the month it is provided in. Complimentary credits are not transferable or redeemable for their cash value.

5. Refund Policy

Biz Central Suite does not offer refunds on subscription fees, usage charges, or add-ons once billed. This includes, but are not limited to:

- Monthly or annual subscription charges;

- Usage-based fees for communication, AI, or integration services;

- Services that are charged per project or per hour (e.q., creating funnels, websites, automations, templates)

- Fees for optional add-ons (e.g., AI Employee, Branded App, Business Listings).

If you cancel a subscription before the end of the billing period, you will continue to have access until the end of that period, but you will not receive a prorated refund.

Complimentary credits are not transferable or redeemable for their cash value.

6. Add-On Services

Biz Central Suite offers optional add-ons that enhance your account capabilities. These may include but are not limited to:

- AI Employee

- Branded Client Portal

- WordPress Hosting

- Business Listings

- Ads Manager

- SEO Tool

- Dedicated IPs

- Prospecting Tools

These services are billed separately and are subject to change. Fees and terms for each add-on are listed on the pricing page or available upon request.

7. Data & Content Ownership

You retain ownership of all content, data, and customer information uploaded or created in your Biz Central Suite account.

You grant Biz Central Suite a limited license to use your content as necessary to provide the Service.

You are solely responsible for the legality and accuracy of any content or communication transmitted via the Service.

8. Third-Party Integrations

The Service may allow integration with third-party applications and services. Biz Central Suite is not responsible for the availability, performance, or terms of any third-party platforms.

Use of third-party services is governed by their respective terms and conditions.

9. Disclaimers

The Service is provided "as is" and "as available" , without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Biz Central Suite disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Biz Central Suite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

Our total liability for any claim arising from the use of the Service will not exceed the amount you paid us in the six months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Biz Central Suite, its officers, employees, and affiliates from any claim, liability, damages, losses, or expenses, including reasonable attorney fees, arising from your:

- Use of the Service;

- Violation of these Terms;

- Violation of any city, county, state or federal laws or regulations

- Violation of any third-party rights or laws.

12. Modifications to the Terms

We may update these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of the Service after such changes constitutes your acceptance of the updated Terms.

13. Termination

We may suspend or terminate your account at our discretion, with or without notice, for conduct that violates these Terms or is otherwise harmful.

Upon termination, your access to the Service will be revoked, and your data may be deleted in accordance with our data retention policy.

14. Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Service shall first be resolved through good faith negotiation between the parties.

If the parties are unable to resolve the dispute through negotiation within 30 days, the dispute shall then be submitted to mediation in Montgomery County, Pennsylvania, before a mutually agreed-upon mediator. Each party shall bear its own costs in connection with the mediation, and the parties shall share the mediator’s fees equally.

Only if mediation fails to resolve the dispute within 60 days after initiation may either party pursue legal action in the courts of

Montgomery County, Pennsylvania, and each party consents to the exclusive jurisdiction and venue of such courts.
